Dutch Corporate Governance Code

On 9 December 2003 the Dutch Corporate Governance Committee published the Dutch Corporate Governance Code ("Code") with principles of good corporate governance and best practice provisions.

The Code has come into force with effect from 1 January 2004. TNT devotes a separate chapter in the annual report to a broad outline of its corporate governance structure and to compliance with the Code, as well as the non-application of any best practice provisions.
On 6 December 2004, the Monitoring Committee Corporate Governance Code (committee Frijns) has been installed to promote the topicality and use of the Dutch Corporate Governance Code and to monitor the implementation thereof. On 20 December 2005 the first report of the Monitoring Committee has been submitted to the government with regard to the book year 2005; the first book year in which compliance with the Code is compulsory for Dutch listed companies. A second monitoring report was issued on 20 December 2006.
