Articles and regulations

  • The articles and regulations of ERIKS group nv are also available in the Dutch language. In case of textual contradictions between the English and the Dutch version, the latter shall prevail.
THESE RULES ("rules") were adopted by the supervisory board (the "supervisory board") of ERIKS group nv (the "company") on 24 February 2005.

These following annexes are attached to, and form an integral part of, these rules:
  • Annex A: the profile of the supervisory board´s scope and composition.
  • Annex B: the resignation rota for menbers of the supervisory board.
  • Annex C: the rules governing the audit committee of the supervisory board.
  • Annex D: the rules govening the remuneration committee of the supervisory board.
  • Annex E: the rules governing the selection and appointment committee of the supervisory board.

Due to the size and compasition of the supervisory board, they have not installed the committees referred to in Annex C, D and E. The supervisory board as a whole shall carry out all that has been included in such rules and regulations.
